About the role:
The Company Secretary & Corporate Services Executive is responsible for providing company secretarial, corporate administration and governance services to a portfolio of companies, investment structures and clients serviced by CC Fund Services, ensuring that all entities remain compliant with applicable legislation, regulatory requirements and corporate governance standards.
Key Responsibilities:
Act on behalf of CC Fund Services Limited as Company Secretary to a portfolio of Maltese companies and corporate fund structures, ensuring compliance with applicable statutory and corporate governance requirements.
Assist with the establishment and administration of investment funds and other regulated/non-regulated structures.
Provide corporate administration support to SICAVs, investment companies, holding companies and other investment structures, where applicable.
Maintain statutory registers, corporate records and company documentation.
Prepare and coordinate Board and Shareholder meetings, agendas, notices, resolutions and minutes.
Prepare and process statutory filings with the Malta Business Registry (MBR).
Monitor statutory deadlines and ensure timely completion of all corporate obligations.
Coordinate changes to directors, shareholders, beneficial owners, company secretary, registered office and share capital.
Assist with company incorporations, restructurings, share transfers and other corporate actions.
Provide day-to-day corporate secretarial and administration support to clients and directors.
Liaise with clients, directors, auditors, lawyers, tax advisers, banks, notaries and other professional advisers.
Coordinate Board and Shareholder requirements for investment funds and regulated entities.
Assist with client onboarding, internal CSP risk function and ensure appropriate corporate KYC/CDD documentation is obtained and maintained.
Liaise with Compliance and AML teams regarding client due diligence and ongoing reviews.
Maintain accurate and up-to-date client files and corporate databases.
Assist with bank account openings, mandates, signatory changes and other corporate banking requirements.
Support internal and external audits, regulatory inspections and client reviews.
Monitor developments in Maltese company law, corporate governance and relevant regulatory requirements.
Ensure all activities are performed in accordance with CC Fund Services policies, procedures and applicable legislation.
Identify and escalate corporate, regulatory or operational issues where appropriate.
Provide support to senior management on corporate projects and transactions.
Maintain a high standard of accuracy, confidentiality, professionalism and client service.
Job requirements
Degree or professional qualification in Law, Accountancy, Finance, Corporate Services, Business Administration or a related field.
Previous experience in company secretarial, corporate services, legal, accounting, CSP, fund administration or financial services.
Good knowledge of the Maltese Companies Act and MBR requirements.
Knowledge of corporate governance and company secretarial practices.
Experience dealing with directors, clients and professional advisers.
Knowledge of KYC/AML requirements.
Experience with investment funds or regulated financial services structures will be considered an advantage.
Strong organisational and time-management skills.
Excellent attention to detail and accuracy.
Ability to manage multiple clients and statutory deadlines.
Strong written and verbal communication skills.
Good drafting skills, particularly for minutes, resolutions and corporate correspondence.
Ability to work independently and as part of a team.
Strong client relationship and problem-solving skills.
High level of integrity, confidentiality and professionalism.
Good working knowledge of Microsoft Office.
